BizFlowy U.S. Referral Program Terms

These BizFlowy U.S. Referral Program Terms (the “U.S. Terms”) govern your participation in the BizFlowy U.S. Referral Program (the “U.S. Referral Program”). By submitting a Referral or otherwise participating in the U.S. Referral Program, you agree to these Terms, which constitute an agreement between you and BizFlowy Inc., a Delaware corporation (“BizFlowy”), and are incorporated by reference into the BizFlowy Terms of Service. BizFlowy reserves the right to amend these U.S. Terms and modify (including terminating) the U.S. Referral Program at its sole discretion. Any capitalized terms not defined herein shall have the meanings given in the BizFlowy Terms of Service and any other referenced documents.

You will not have the authority, expressed or implied, to commit or incur any obligations on behalf of BizFlowy beyond those expressly set forth herein.

Definitions

1. BizFlowy Client: Any business with a current paid BizFlowy Inbox or Bundle Subscription.
   
2. Referral: A business entity referred to BizFlowy by a Friend of BizFlowy or a Client Referrer directly (or through the assistance of an Employee Referrer) as a prospective BizFlowy Client, in accordance with these U.S. Terms.
   
3. Participant: Any Client Referrer, Employee Referrer, Friend of BizFlowy, or Referred Client participating in the U.S. Referral Program.
   
4. Qualified Referral: A Referral that meets the eligibility requirements set forth herein and is accepted by BizFlowy through the Referral Portal or that uses a valid referral code to purchase a BizFlowy Inbox or Bundle Subscription. (A Qualified Referral cannot be an individual person.)
   
5. Referred Client: A Qualified Referral that purchases a paid BizFlowy Inbox or Bundle Subscription (as described at BizFlowy’s Pricing Page) and maintains that subscription for at least two (2) months.
   
6. Client Referrer: A BizFlowy Client (including its Authorized Users) that meets these U.S. Terms and submits a Referral in accordance with them.
   
7. Friend(s) of BizFlowy: An individual or business (other than a BizFlowy Client or BizFlowy Employee) that meets these U.S. Terms and submits a Referral in accordance with them.
   

Referral Submission Program Overview

The U.S. Referral Program is offered by BizFlowy and, subject to these U.S. Terms, provides Participants the opportunity to receive bonuses (collectively “Bonuses”) as part of their participation in the U.S. Referral Program. These U.S. Terms apply to all Participants, including eligible Client Referrers, Employee Referrers, Friends of BizFlowy, and Referred Clients. The U.S. Referral Program is available only to Participants located in the United States.

Client Referral & Friend of BizFlowy Referral Bonus

• Eligibility: Subject to these U.S. Terms and any applicable eligibility requirements, Client Referrers may receive a one-time bonus (“Client Referral Bonus”) for each Qualified Referral that becomes a Referred Client. To qualify, Client Referrers must submit each Referral via:
  
  1. The Referral Portal provided by BizFlowy; or
     
  2. A unique referral link (“Referral Link”) provided by BizFlowy that the Referral must use when purchasing a BizFlowy Subscription.
     
• Payment: The bonus will be issued only after the Referred Client has maintained a paid BizFlowy Subscription for at least two (2) months.
  

Employee Referral Bonus

• Eligibility: Employee Referrers may receive a one-time bonus (“Employee Referral Bonus”) for each Referred Client they help refer by:
  
  1. Submitting required Referral information on behalf of a BizFlowy Client via the BizFlowy Employee Referral Portal; or
     
  2. Assisting a BizFlowy Client in generating a custom Referral Link that the Qualified Referral then uses.
     
• Payment: The bonus will be processed by BizFlowy’s finance team after the Referred Client has maintained a paid BizFlowy Subscription for at least two (2) months and will be subject to applicable taxes.
  

Referred Client Bonus

• Eligibility: After a new BizFlowy Platform/Inbox subscription is confirmed and maintained for at least two (2) months, the Referred Client may be eligible for a one-time bonus (“Referred Client Bonus”).
  
• Payment: This bonus will be sent to the Referred Client’s business entity by email, using the primary contact information provided on their BizFlowy account.
  

Referral Program Eligibility

1. Client Referrers must:
   
   • Be a current BizFlowy Client.
     
   • Be current on all account obligations and not in breach of any BizFlowy Terms of Service.
     
   • Be located in the United States.
     
2. Friends of BizFlowy must:
   
   • Comply with these U.S. Terms.
     
   • Be located in the United States.
     
   • Not be a BizFlowy Client or BizFlowy Employee.
     
3. Employee Referrers must:
   
   • Be currently employed by BizFlowy.
     
   • Comply with these U.S. Terms.
     
   • Be located in the United States.
     
4. Ineligible Participants:
   
   • BizFlowy Partners (e.g., Reseller, Referral, Developer, Technology, or Managed Service Provider Partners).
     
   • Owners, operators, or employees referring their own business.
     
   • Entities or individuals located outside the United States.
     

Qualified Referral Eligibility & Process

• Client Referrers and Friends of BizFlowy must register each Referral via the Referral Portal or use a valid Referral Link provided by BizFlowy. Each submission must include all required details (e.g., business name and contact information) in full and accurate form.
  
• By submitting a Referral, you acknowledge that BizFlowy may contact the referred party.
  
• For Employee Referrers, a Referral must be registered via the Employee Referral Portal or processed using a valid BizFlowy Client Referral Link generated through the portal.
  

Refusal of Referrals

BizFlowy may decline a Referral for reasons including, but not limited to:

• The Referral is a current or former BizFlowy Client.
  
• The Referral is a current or former BizFlowy Partner.
  
• The Referral is owned directly or indirectly by the referring party.
  
• The Referral represents an active sales opportunity within the past 30 days.
  
• The Referral has been previously submitted by another source.
  
• The Referral does not meet BizFlowy’s qualification criteria (e.g., creditworthiness, type, or location).
  
• The Referral is identified as a competitor or Reseller Partner.
  

Participant’s Code of Conduct

Participants must not:

1. Violate BizFlowy’s or any third party’s intellectual property rights.
   
2. Engage in actions designed to disrupt or undermine the U.S. Referral Program.
   
3. Attempt to gain unauthorized access to BizFlowy Technology or the U.S. Referral Program.
   
4. Transmit files containing harmful software (e.g., bots, viruses, Trojan horses) that could damage BizFlowy’s systems.
   
5. Engage in behavior intended to harass or annoy others.
   
6. Disparage or undermine BizFlowy’s reputation.
   
7. Refer entities prohibited by the BizFlowy Terms of Service or Acceptable Use Policy.
   
8. Engage in spam or any illegal activities. You agree to remain compliant with all applicable laws. If you use BizFlowy’s Platform or tools to invite others, you must send invitations only to individuals who have consented to receive such communications.
   

Specific Prohibited Activities

• Mass emailing or messaging individuals you do not personally know.
  
• Using automated systems or bots to distribute or post your referral code.
  
• Employing scripts or similar dialers to send invitations or communicate referral codes.
  
• Posting referral codes on event or venue pages without express permission from the owner.
  

Misrepresentation

You must not:

• Impersonate any person or entity.
  
• Create fake accounts, blogs, webpages, profiles, websites, or links.
  
• Misrepresent your relationship with BizFlowy.
  
• Suggest a non-existent affiliation or partnership.
  
• Misrepresent the characteristics or qualification requirements for any Bonus. BizFlowy reserves the right to modify Bonus requirements at its sole discretion.
  

Indemnification

By participating in the U.S. Referral Program, you agree to indemnify, defend, and hold harmless BizFlowy and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents (collectively, the “BizFlowy Entities”) from any taxes, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising directly or indirectly from:

• Your failure to comply with these U.S. Terms or applicable laws, rules, and regulations.
  
• Any violation or alleged violation of a third party’s rights as a result of your participation.
  
• Any negligence or willful misconduct related to your participation in the program.

*Note: If your combined annual Bonuses total $600.00 USD or more, you must complete and submit a W-9 Tax Form to BizFlowy. Your relationship with BizFlowy is that of an independent contractor, and nothing in these U.S. Terms creates an employment, partnership, joint venture, or agency relationship.

BizFlowy AUS Referral Program Terms

These BizFlowy Australia Referral Program Terms (the “AUS Terms”) govern your participation in the BizFlowy Australia Referral Program (the “AUS Referral Program”). By submitting a Referral or otherwise participating in the AUS Referral Program, you agree to these AUS Terms, which form an agreement between you and BizFlowy Inc., a Delaware corporation (“BizFlowy”), and are incorporated by reference into the BizFlowy Terms of Service. BizFlowy reserves the right to amend these AUS Terms and modify (including terminating) the AUS Referral Program at its sole discretion. Any capitalized terms not defined herein shall have the meanings given in the BizFlowy Terms of Service and any other referenced documents.

You will not have the authority, expressed or implied, to bind or incur obligations on behalf of BizFlowy beyond those expressly set forth herein.

1. BizFlowy Client: Any business with a current paid BizFlowy Inbox or Bundle Subscription.

4. Qualified Referral: A Referral that meets the eligibility requirements set forth herein and is accepted by BizFlowy via the Referral Portal or through a valid referral code to purchase a BizFlowy Inbox or Bundle Subscription. (A Qualified Referral may not be an individual person.)
   
5. Referred Client: A Qualified Referral that purchases a paid BizFlowy Inbox or Bundle Subscription (as described on BizFlowy’s Pricing Page) and maintains that subscription for at least two (2) months.
   
6. Client Referrer: A BizFlowy Client (including its Authorized Users) that meets these AUS Terms and submits a Referral to BizFlowy in accordance with them.
   
7. Friend(s) of BizFlowy: An individual or business (other than a BizFlowy Client or BizFlowy Employee) that meets these AUS Terms and submits a Referral in accordance with them.
   

Referral Submission Program Overview

The AUS Referral Program, offered by BizFlowy, provides Participants the opportunity to receive bonuses (“Bonuses”) for their referrals. These AUS Terms apply to all Participants and are available only to those located in Australia.

Client Referral & Friend of BizFlowy Referral Bonus

• Eligibility: Subject to these AUS Terms and any applicable eligibility requirements, Client Referrers may receive a one-time bonus (“Client Referral Bonus”) for each Qualified Referral that becomes a Referred Client. Referrals must be submitted via the Referral Portal or through a valid Referral Link provided by BizFlowy.
  
• Payment: The bonus is provided only after the Referred Client has maintained a paid BizFlowy subscription for at least two (2) months.
  

Employee Referral Bonus

• Eligibility: Employee Referrers may receive a one-time bonus (“Employee Referral Bonus”) for each Referred Client they help refer by:
  
  1. Submitting required Referral information on behalf of a BizFlowy Client via the BizFlowy Employee Referral Portal; or
     
  2. Assisting a BizFlowy Client in generating a custom Referral Link, which the Qualified Referral then uses.
     
• Payment: The bonus is processed after the Referred Client maintains a paid BizFlowy subscription for two (2) months and is subject to applicable taxes.
  

Referred Client Bonus

8. Engage in spam or any illegal activities. You agree to comply with all applicable laws when inviting others to use BizFlowy’s services.

By participating in the AUS Referral Program, you agree to indemnify, defend, and hold harmless BizFlowy and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents from all taxes, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising directly or indirectly from:

• Your failure to comply with these AUS Terms or applicable laws, rules, and regulations.
  
• Any violation of a third party’s rights due to your participation.
  
• Any negligence or willful misconduct related to your participation.
